Terms of service

These terms are an agreement between [IOKO Labs Ltd], RC [ ], [address] ("Snowleaf", "we") and the organisation that signs up ("the Customer", "you"). The person accepting them confirms they can bind the Customer.

1. The service

1.1 Snowleaf turns your energy readings into emissions and efficiency figures and reports ("the Service"), on the plan you choose (for example Measure). Each plan's features are listed on the pricing page at the time you sign up.

1.2 Features marked "upcoming", "being built" or "in development" are not part of any plan until we release them. Under clause 4.3, features we add to your plan during your term are included at no extra cost.

2. Your account and your data

2.1 You are responsible for the people you give access to and for keeping sign-in details secure.

2.2 You own your data and reports. You give us permission to use your data only to provide the Service, as set out in our data processing terms. We don't sell your data or use it outside your account.

2.3 You confirm you have the right to give us the readings you upload.

3. How the figures should be read

3.1 Reports show the method version and emission factors used. Until an independent review has been completed and is named on the report, every report is labelled "Self-reported, method documented".

3.2 Figures depend on the readings you provide. We check readings for gaps, duplicates and unit errors and label their quality, but we can't verify that your meters are accurate.

3.3 You decide how to use the figures, including in any filing or disclosure, and you remain responsible for it. [Lawyer to confirm wording and any no-reliance language.]

4. Fees and billing

4.1 Fees are per site, per the pricing page or your order form, scaled by site size. Billing is quarterly or yearly in advance, prices include VAT where it applies, and each invoice is payable within 7 days.

4.2 Yearly plans: you may move up a plan when it is released and pay the difference for the months left.

4.3 Features we add to your current plan during your term are included at no extra cost.

4.4 We may change prices for future terms with at least 60 days' notice. Prices don't change during a term you have paid for.

5. Availability and support

5.1 We aim to keep the Service available and will tell you about planned maintenance in advance. Service levels, if any, are in the order form. Support is by email at hello@snowleaf.xyz, answered within 2 working days.

6. Confidentiality

6.1 Each party keeps the other's confidential information confidential, during the agreement and for [2] years after.

7. Ending the agreement

7.1 Either party may decide not to renew at the end of a term, with 30 days' notice. Either party may end the agreement early if the other materially breaches it and doesn't fix the breach within 30 days of notice.

7.2 When the agreement ends, you can export your reports and calculation files for 30 days. After that we delete your data, as set out in the data processing terms.

8. Liability

8.1 Each party's total liability in any 12 months is limited to the fees paid in those 12 months. Neither party is liable for indirect or consequential loss, or loss of profit. Nothing limits liability that the law does not allow to be limited.

9. General

9.1 We may update these terms with 30 days' notice; changes apply from your next term unless required by law. 9.2 Governed by Nigerian law; courts of [the Federal Capital Territory, Abuja]. 9.3 The order form, these terms and the data processing terms are the whole agreement.
